Agreement To These Terms

These terms govern your use of orangeful.com and everything published on it. By browsing the site, submitting a form or corresponding with us through it, you accept them.

If you do not accept them, please stop using the site.

We may revise these terms. The version on this page, dated at the top, is the one that applies. Continuing to use the site after a revision means you accept the revised terms.

Who You Are Dealing With

Orangeful is a venture architecture firm based in Gurugram, India. We build and operate ventures across four divisions, and this website is where we describe that work.

The site references ventures, programmes and platforms — among them Nexorama, BeanStalkx, Brand Capital, SkillCapital, Creative Capital, Domainza, GoDotly, Domaincook, DN.chat, DroppedNow and PrismIndex. Several of these are separate products, separate entities, or both, with their own terms. Where you contract with one of them, that contract governs, not this page.

Who May Use The Site

You may use this site if you are 18 or older and legally capable of entering a binding agreement, and if the law of your country permits you to.

If you use the site for an organisation, you confirm you are authorised to accept these terms for it, and 'you' means both you and that organisation.

Permitted Use

You may read, print and share the pages of this site for your own business or personal reference, with attribution and without modification.

You may not:

• Copy, republish, sell, licence or commercially exploit any part of the site without our written permission.
• Scrape, harvest, mine or systematically extract content, whether by automated means or by hand, or use the site's content to train a machine learning model.
• Reverse engineer, decompile or attempt to derive the source of any part of the site.
• Interfere with the site's operation, probe or test its security, bypass an access control, or introduce malicious code.
• Impersonate any person or organisation, or misrepresent your affiliation with one.
• Use the site to send unsolicited commercial messages, or to collect contact details for that purpose.
• Use the site for anything unlawful, or in a way that infringes the rights of anyone else.

We may suspend or block access where we reasonably believe any of the above is happening.

Intellectual Property

The site and everything in it — text, design, layout, graphics, photography, video, diagrams, frameworks, methodologies, code, and the selection and arrangement of all of it — is owned by Orangeful or licensed to us, and is protected by copyright, trade mark and other intellectual property law.

'Orangeful', the Orangeful mark, and the names and logos of our ventures and programmes are our trade marks. Nothing on this site grants you a licence to use them. Third-party names and marks that appear on the site belong to their owners and are used for identification only.

The frameworks we publish — including our venture architecture model, the capital stack, and our valuation and index methodologies — are described here for explanation. Describing them publicly does not put them in the public domain.

If you believe material on this site infringes your rights, tell us through our contact page, with the material, the right you claim and the basis for the claim. We will investigate and, where the claim is made out, remove it.

Enquiries, Applications And Submissions

When you send us an enquiry, a founder application, a partner proposal, a portfolio or a pitch — through a form on this site or by email — the following applies.

What you promise

• The information is accurate, and you are entitled to share it.
• It does not infringe anyone's intellectual property, confidence or privacy.
• It contains no malicious code, and nothing unlawful or defamatory.

What we do with it

We use submissions to evaluate the opportunity and to respond to you. We handle personal data in them as described in our Privacy Policy.

Confidentiality

Unless we have signed a non-disclosure agreement with you covering the material, a submission through this site is not confidential and does not create one. We review a large volume of ventures, and we may already be working on something similar or may do so later, without obligation to you.

Please do not send material you cannot afford to share on that basis. Ask us for an NDA first — we sign them routinely.

Ideas and feedback

If you send us an unsolicited idea, suggestion or feedback about our work, you grant us a worldwide, royalty-free, perpetual licence to use it without restriction, attribution or payment. This does not apply to material covered by a signed agreement between us.

No obligation

Submitting anything through this site does not oblige us to respond, to evaluate it, to progress it, to admit you to a programme, or to enter any agreement.

No Advice, No Offer, No Solicitation

Everything on this site is published for general information about what Orangeful does.

• It is not investment, financial, legal, tax, accounting or professional advice, and you should not act on it without advice that accounts for your circumstances.
• It is not an offer to sell, or a solicitation of an offer to buy, any security, fund interest or financial instrument, in any jurisdiction.
• It is not an offer of, or invitation to apply for, any programme, investment or facility. Those are made only through the documentation that governs them.
• Valuations, indices and market figures shown here are estimates produced by a methodology, not appraisals, guarantees or realisable prices.

Descriptions of past ventures, programmes and outcomes are historical. They are not a forecast, and they are not a representation about any future result. See our Safe Harbour Statement for how forward-looking material on this site should be read.

Domain Names, Listings And Valuations

Our domain division publishes names, listings, appraisals and market data through Domainza, GoDotly, Domaincook, DN.chat, DroppedNow and PrismIndex.

• A name shown here or on those platforms is not necessarily available, and availability, price and registration status change constantly.
• An appraisal, index value or estimate is an opinion generated by a methodology, not a warranty of value, sale price or marketability.
• A transaction in a domain name completes only under the terms of the platform or agreement it runs through, and is subject to registry and registrar rules and any applicable transfer lock.
• We give no assurance that a name is free of third-party rights. Trade mark clearance is yours to do before you acquire or use one.

Links And Third-Party Platforms

The site links to other websites and platforms, including those of our ventures, partners, portfolio companies and service providers — among them PlumJob for careers, PrismIndex for valuation data, and beanstalkx.com for programme material.

We provide those links for convenience. We do not control those sites, do not endorse everything on them, and are not responsible for their content, availability, terms or privacy practices. Following a link is at your own risk, and what happens there is between you and the operator.

Availability Of The Site

We aim to keep the site available, but we do not promise it will be. It may be unavailable during maintenance, or because of a fault, an attack, or something outside our control.

We may change, suspend or withdraw any part of the site, or the whole of it, at any time and without notice, and we are not liable to you for doing so.

Disclaimer Of Warranties

The site and its content are provided 'as is' and 'as available'.

To the fullest extent the law allows, we exclude all warranties, conditions and representations, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.

We take care with what we publish, but we do not warrant that the content is complete, current or free of error, or that the site is free of viruses or other harmful components. You are responsible for your own virus protection.

Limitation Of Liability

To the fullest extent the law allows, Orangeful, its group companies, directors, employees, partners and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, opportunity, goodwill, data or anticipated savings, arising out of or in connection with your use of this site — whether the claim is in contract, tort, statute or otherwise, and whether or not we were told such loss was possible.

Where liability cannot lawfully be excluded, our total aggregate liability arising out of or in connection with the site is limited to ₹10,000 (ten thousand Indian Rupees).

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.

Indemnity

You agree to indemnify and hold Orangeful, its group companies and their officers, employees and agents harmless against any claim, liability, loss, damage, cost or expense — including reasonable legal fees — arising out of your breach of these terms, your misuse of the site, or your infringement of the rights of anyone else.

Privacy

Our Privacy Policy explains what we collect through this site, why, and what rights you have over it. It forms part of these terms, and using the site means you have read it.

Suspension And Termination

We may restrict, suspend or terminate your access to the site at any time, without notice, where we reasonably believe you have breached these terms or where we need to protect the site, our business or anyone else.

The clauses that by their nature should survive — intellectual property, submissions, disclaimers, limitation of liability, indemnity and governing law — survive termination.

Governing Law And Jurisdiction

These terms, and any dispute or claim arising out of them or out of your use of the site, are governed by the laws of India, without regard to conflict of law rules.

The courts at Gurugram, Haryana, India have exclusive jurisdiction, and you submit to it. Where the law of your country gives you rights as a consumer that cannot be contracted out of, this clause does not take them away.

General

• Entire agreement — these terms, with the Privacy Policy and Safe Harbour Statement, are the whole agreement between us about the site.
• Severability — if a clause is held unenforceable, the rest stands and the clause is read down to the minimum extent needed.
• No waiver — if we do not enforce a term, that is not a waiver of it.
• Assignment — you may not assign these terms; we may, to a group company or in connection with a reorganisation.
• No partnership — nothing here creates a partnership, joint venture, agency or employment relationship between us.
• Force majeure — neither party is liable for a failure caused by something genuinely outside its reasonable control.
